To provide affordable housing for the elderly with a residential manager.

What does the Organisation hope to achieve through the relationship?

Manage in conjunction with other trustees, the affairs of the charity in accordance with the governing document.

How often are the meetings held, venue and time?

Trustee meetings Bi-monthly meetings on the second Monday of alternate months at 2.30pm plus occasional, aditional other meetings/events.

What skills/experience/interests would be desirable from the Council’s representative?

Housing (supported), care of elderly, estate management and finance.  Induction/Training material is provided, and voluntary attendance at occasional seminars run by the Almshouses Association can be arranged.  It would be an advantage if the representative resided in Southborough or had close connections with it through business or other activities.

What arrangements are in place to indemnify board members against the risk of personal liability?

The Trust’s insurance includes indemnity to trustees (and former trustees) for personal liability for ‘wrongful acts’ including actual or alleged error, misstatement, misleading statement, omission, neglect, breach of statutory law, breach of trust, libel, slander, breach of contract, breach of warranty of authority. Significant exclusions are:

[1] Legal liability for death, bodily injury, sickness and the like and property damage,

[2] Employment claims other than for discrimination or harassment,

[3] Claims arising from Trustees acting in a professional capacity,

[4] Reckless or willful acts and

[5] Taxes, fines or other penalties. 

The aggregate limit of liability is £100,000.
